1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and DocAnalyzer ("Company", "we", "us", or "our") concerning your access to and use of the DocAnalyzer platform available at docanalyzer.co.uk (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Important: These Terms contain a mandatory arbitration provision and limitation of liability that affects your legal rights.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that:

• You are at least 16 years of age
• You have the legal capacity to enter into these Terms
• You will use the Service in compliance with all applicable laws
• All information you provide is accurate and current

3. Account Registration

3.1 Creating an Account

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We recommend enabling two-factor authentication for additional security.

3.3 Account Suspension

We reserve the right to suspend or terminate your account if we believe you have violated these Terms or engaged in fraudulent activity.

4. Service Description

DocAnalyzer provides AI-powered contract analysis services, including:

• Document upload and OCR text extraction
• AI-powered clause identification and analysis
• Risk assessment and scoring
• Document comparison and export features
• Team collaboration tools

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

5. Subscription Plans and Pricing

5.1 Plan Tiers

We offer the following subscription plans:

• FREE: 5 pages per analysis (unlimited uses), 1 user
• STARTER: £20/month (monthly) or £200/year (annual) - 3,000 pages/month budget
• PROFESSIONAL: £50/month (monthly) or £500/year (annual) - 9,000 pages/month budget
• FIRM: £100/month (monthly) or £1,000/year (annual) - 20,000 pages/month budget

All prices are in British Pounds (GBP) and include VAT where applicable.

5.2 Token-Based Billing

Paid plans use a token-based billing system:

• Each subscription includes a monthly token budget
• Tokens are consumed based on pages analyzed (not document count)
• Small documents cost less than large documents (fair pricing)
• Unused tokens do not roll over to the next month (10% rollover for paid plans)
• You can purchase additional credits if you exceed your monthly budget

5.3 Credit Top-Ups

You can purchase one-time credit packs:

• £10 → £5 in tokens (approximately 71 contracts)
• £25 → £12.50 in tokens (approximately 178 contracts)
• £50 → £25 in tokens (approximately 357 contracts)
• £100 → £50 in tokens (approximately 714 contracts)

Credits never expire and can be used even after your subscription ends.

5.4 Billing and Payments

• Subscriptions are billed in advance (monthly or annually)
• Payments are processed securely via Stripe
• Failed payments may result in service suspension
• You authorize us to charge your payment method for all fees

5.5 Price Changes

We may change our pricing with 30 days' notice. Existing subscribers will be grandfathered at their current price for the duration of their active subscription period (monthly or annual).

5.6 Taxes

All prices are exclusive of applicable taxes (VAT, sales tax, etc.). You are responsible for paying all applicable taxes.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time through Settings → Billing → Manage Subscription. Your subscription will remain active until the end of the current billing period.

6.2 Refund Policy

• Subscriptions: No refunds for monthly or annual subscriptions (service remains active until period ends)
• Credit Purchases: No refunds for credit top-ups (credits never expire)
• Exceptional Circumstances: Contact support for billing disputes or technical issues

6.3 Account Deletion

You may delete your account at any time. Deleting your account will:

• Cancel any active subscription (no refund)
• Permanently delete all your documents and analyses
• Remove all team members and shared data
• Forfeit any remaining token balance or credits

7. User Content and Data

7.1 Your Content

You retain all ownership rights to the documents and content you upload ("Your Content"). You grant us a limited license to:

• Process and analyze Your Content using AI
• Store Your Content securely in our systems
• Display Your Content back to you and authorized team members
• Generate analysis results and insights

This license terminates when you delete Your Content or close your account.

7.2 Content Restrictions

You agree not to upload content that:

• Violates any law or regulation
• Infringes intellectual property rights
• Contains malware or harmful code
• Is fraudulent, deceptive, or misleading
• Violates the privacy rights of others

7.3 AI Training

Important: We do NOT use your uploaded documents to train AI models or share them with third parties (except as required to provide the Service). Your documents are private and confidential.

7.4 Data Retention

We retain Your Content for as long as your account is active. Deleted content is permanently removed within 30 days (may persist in backups temporarily).

8. Intellectual Property

8.1 Our IP

The Service, including all software, algorithms, designs, and content (excluding Your Content) is owned by DocAnalyzer and protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business purposes, subject to these Terms.

8.3 Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Service
• Copy, modify, or create derivative works
• Scrape or extract data using automated tools
• Resell or redistribute the Service
• Remove proprietary notices or labels

8.4 Analysis Results

AI-generated analysis results are provided to you under the same license as Your Content. You may use, export, and share these results as you see fit.

9. Prohibited Uses

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Prohibited uses include:

• Uploading illegal, fraudulent, or stolen documents
• Attempting to gain unauthorized access to our systems
• Interfering with or disrupting the Service
• Using the Service to spam, phish, or distribute malware
• Impersonating others or providing false information
• Violating the privacy rights of others
• Circumventing usage limits or billing systems
• Using automated tools to abuse the Service

10. Third-Party Services

Our Service integrates with third-party services:

• Anthropic Claude: AI-powered analysis
• Google Cloud Vision: OCR text extraction
• Stripe: Payment processing
• Clerk: Authentication

Use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their availability.

11. Disclaimers and Limitations

11.1 Not Legal Advice

11.2 AI Accuracy

AI-generated analysis may contain errors, omissions, or inaccuracies. We make no warranties about the completeness, reliability, or accuracy of AI-generated content. Always verify important information independently.

11.3 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted or error-free service.

11.4 Limitation of Liability

To the maximum extent permitted by law, DocAnalyzer shall not be liable for:

• Indirect, incidental, or consequential damages
• Lost profits, revenue, or business opportunities
• Data loss or corruption
• Errors or omissions in AI-generated analysis
• Third-party service failures

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

11.5 Indemnification

You agree to indemnify and hold harmless DocAnalyzer from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or rights of third parties
• Your uploaded content

12. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with UK GDPR.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

13.2 Dispute Resolution

Before filing a legal claim, you agree to contact us at support@docanalyzer.co.uk to attempt informal resolution.

13.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes that cannot be resolved informally.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms on this page
• Updating the "Last Updated" date
• Sending email notification (for material changes)

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DocAnalyzer.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any successor or affiliate.

15.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (e.g., natural disasters, wars, pandemics, third-party service outages).
